- LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS, OR ANTICIPATED SAVINGS;
- PERSONAL INJURY OR PROPERTY DAMAGE ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE WEBSITE OR SERVICES;
- UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
IN ALL CASES, DEWEY'S PIZZA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO DEWEY'S PIZZA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).
The limitations set forth in this section reflect a fair allocation of risk between you and Dewey's Pizza, and are a fundamental element of the basis of the bargain between the parties. The services would not be provided without such limitations.
11. Indemnification
You agree to defend, indemnify, and hold harmless Dewey's Pizza and its owners, officers, directors, employees, agents, contractors, licensors, suppliers, and successors from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to reasonable attorneys' fees and court costs) arising from or related to:
- Your access to or use of the Website and services;
- Your violation of any provision of these Terms;
- Your violation of any applicable federal, state, or local law or regulation;
- Your violation of any third-party right, including without limitation any intellectual property right, proprietary right, or privacy right;
- Any user-generated content you submit, post, or transmit through the Website;

- Any dispute between you and any third party in connection with your use of our services.
Dewey's Pizza reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you. 14. Governing Law and Jurisdiction
These Terms of Service and any dispute, claim, or controversy arising out of or relating to these Terms, the Website, or the services provided by Dewey's Pizza—including their interpretation, validity, enforceability, performance, breach, or termination—shall be governed by and construed in accordance with the laws of the United States of America and the laws of the applicable state in which Dewey's Pizza is registered and operates, without regard to any conflict of law principles that would require or permit the application of the laws of another jurisdiction.
Subject to the Dispute Resolution provisions set forth in Section 15 below, you agree to submit to the exclusive personal jurisdiction of the state and federal courts located within the applicable United States jurisdiction for the resolution of any disputes not subject to arbitration. You waive any objection to the laying of venue of any such proceedings in such courts and waive any objection that such courts are an inconvenient forum.
The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to these Terms or any transactions conducted through our Website.
15. Dispute Resolution
15.1 Informal Resolution
Before initiating any formal dispute resolution process, you agree to first contact Dewey's Pizza in writing at [email protected] and provide a detailed description of your complaint, the relief sought, and your contact information. We will attempt to resolve the dispute informally within thirty (30) days of receiving your notice. Both parties agree to negotiate in good faith to resolve the dispute before proceeding to arbitration or litigation.
15.2 Binding Arbitration
If the parties are unable to resolve a dispute through informal negotiations within thirty (30) days, either party may elect to have the dispute resolved through binding arbitration. The arbitration shall be conducted in English, in the United States. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own costs and expenses in connection with the arbitration, except that the arbitrator may, in the interest of justice, award reasonable attorneys' fees and costs to the prevailing party.
15.3 Class Action Waiver
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND DEWEY'S PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR MULTI-PLAINTIFF ACTION OR PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class or representative proceeding.
15.4 Exceptions
Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidential information, or other proprietary rights.
16. Term and Termination
These Terms shall remain in full force and effect for so long as you access or use our Website or services. We reserve the right, in our sole and absolute discretion, to suspend or terminate your access to the Website and services, in whole or in part, at any time and for any reason, including but not limited to:
- Your breach or violation of any provision of these Terms;
- Fraudulent, illegal, or harmful activity;

- Requests by law enforcement or other governmental authorities;

20. Force Majeure
Dewey's Pizza shall not be liable for any failure or delay in performance of its obligations under these Terms resulting from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, fire, flood, storm, earthquake, pandemic, epidemic, government restrictions or orders, war, acts of terrorism, civil unrest, labor disputes or shortages, supply chain disruptions, power outages, internet service provider failures, or any other event or circumstance that is beyond our reasonable control ("Force Majeure Event").
In the event of a Force Majeure Event, we will make reasonable efforts to notify affected customers and resume services as soon as reasonably practicable. Orders that cannot be fulfilled due to a Force Majeure Event may be cancelled, and affected customers will be notified accordingly.
21. Electronic Communications and Notices
By using our Website and services, you consent to receive electronic communications from Dewey's Pizza, including but not limited to order confirmations, receipts, promotional emails (if you have opted in), and notices regarding these Terms. You agree that any notices, agreements, disclosures, or other communications that we provide electronically satisfy any legal requirement that such communications be in writing.
